Aruba
Aruba kent de naamloze vennootschap (NV), de Aruba Vrijgestelde Vennootschap (AVV), de Vennootschap met Beperkte Aansprakelijkheid (VBA), de vereniging, de coöperatieve vereniging, de onderlinge waarborgmaatschappij en de stichting. De NV is geregeld in het Wetboek van Koophandel van Aruba en daarin is sedert 1 juli 1988 ook de AVV geregeld. Op 1 januari 2009 is de VBA geïntroduceerd met het van kracht worden van een gelijknamige landsverordening. Bij de VBA is het mogelijk om te kiezen voor een monistisch (one tier) of dualistisch (two tier) bestuursmodel.

BESTUURDERSAANSPRAKELIJKHEID
Symposium Sint Maarten 1 december 2015
Het Ministerie van Justitie te Sint Maarten en de Orde van Advocaten te Sint Maarten hebben op 1 december 2015 een symposium over Boek 2 van het Burgerlijk Wetboek van Sint Maarten georganiseerd.
De sprekers waren prof.mr. Peter van Schilfgaarde, prof.mr. Gerard van Solinge, mr. Jeroen Eichhorn en ikzelf. Mijn bijdrage ging over bestuurdersaansprakelijkheid. De tekst van mijn bijdrage is hier te vinden. Wat ik over het recht van St. Maarten te melden heb geldt ook voor Aruba, Curacao en de BES-eilanden.

HET BESTUUR VAN EEN RECHTSPERSOON
Het belang van de rechtspersoon moet worden gediend
De taakvervulling door een bestuurder van een (privaatrechtelijke) rechtspersoon is niet vrijblijvend. Op de bestuurder rust een inspanningsverplichting. In artikel 2:8 lid 3 van het Burgerlijk Wetboek (van Curaçao, St. Maarten en de BES-eilanden) is een belangrijke norm voor die taakvervulling vastgelegd:
Bij de vervulling van zijn taak richt het bestuur zich naar het belang van de rechtspersoon en, voor zover daarvan sprake is, de met deze verbonden onderneming.
Die norm geldt overigens ook in Aruba.

KNOWLEDGE CEO CAN BE IMPUTED TO CORPORATION
Interesting opinion of the United States Court of Appeals for the Ninth Circuit
Knowledge can be both actual and constructive. The question is under what circumstances actual knowledge, for instance the CEO’s knowledge, can be imputed to the corporation. This question was addressed by the Ninth Circuit in its opinion of 23 October 2015 (securities class action lawsuit against ChinaCast Education Corporation et al).

BEROEPSAANSPRAKELIJKHEID ADVOCAAT
Oordeel Hoge Raad
Op 18 september 2015 wees de Hoge Raad arrest in een zaak waarin een advocaat, wiens BV maat in een maatschap van advocaten is (partner), en een advocaat in dienstbetrekking door een (voormalige) cliënt van de maatschap aansprakelijk waren gesteld vanwege een beroepsfout (ECLI:NL:HR:2015:2745).
De (inmiddels voormalige) cliënt (eiser) had een opdracht verstrekt aan de maatschap van advocaten, en in dat verband ook een opdrachtbevestiging getekend. De aansprakelijk gestelde advocaten, de verweerders (een advocaat die via een eigen BV maat in de maatschap is en een advocaat in dienstbetrekking), hebben de werkzaamheden verricht. NO DERIVATIVE ACTION IN CURACAO
A claim based on tort is possible though
Curaçao corporate law does not provide for any derivative suit mechanism (and neither do the laws of Aruba, St. Maarten and the BES-islands). This matter was first decided in the cases of Poot v. ABP, Hoge Raad (Dutch Supreme Court) 2 December 1994, NJ 1995, 288, and Constance et al. v. Noro et al., Gemeenschappelijk Hof van Justitie van de Nederlandse Antillen en Aruba (Joint Court of Appeal of the Netherlands Antilles and Aruba) 13 December 1994, SJD 1994, 498.

According to The Irish Times, lawyer Antenor Pereira Madruga Filho (a member of FraudNet) is hired by the Irish Government to represent it in a high-profile case involving a lawyer who fled Ireland in 2007 with debts of €80m. Differences with the United States
Curaçao civil proceedings differ substantially from those in the United States. In Curaçao there are, for instance, no juries. In principle, legal proceedings are basically conducted in writing. Oral pleadings are customary in preliminary relief proceedings, but optional in proceedings on the merits. Discovery proceedings like those in the United States do not exist. Pre-trial motions similar to those in the United States do not exist in Curaçao either. There are, however, so-called incidents or ancillary proceedings in Curaçao.

Although not explicitly provided for in Book 2 of the Civil Codes of Curacao, St. Maarten and the BES-islands (Bonaire, St. Eustatius and Saba) (“CC”), it is considered a general rule of corporate law that the management board (a.k.a. board of directors) must act in the best interests of the company (an NV or BV) in the performance of its duties, even when acting on instructions from others (e.g. shareholders). A three-part distinction
With regard to liability a three-part distinction can be made. The first distinction relates to the basis of the liability: liability pursuant to a contractual relationship (the attributable failure in this respect) and liability pursuant to a wrongful act.
Another distinction relates to the personal liability (thus for the party’s own actions or omissions) and vicarious and/or strict liability: liability for or the acts and omissions of others (vicarious liability) or liability for certain things that happen (strict liability).
