Kralendijk – Adely Susana-Jansen is per 1 november 2020 benoemd tot tijdelijke bestuurder van Bonaire Holding Maatschappij N.V.
De Raad van Commissarissen van Bonaire Holding Maatschappij N.V. heeft Adely Susana-Jansen Bsc, MBA benoemd tot tijdelijke bestuurder. De benoeming gaat in op 1 november 2020. Zij was tot voor kort werkzaam bij Bopec als financial controller en superintendent finance. Zij was eerder werkzaam bij het Departement Financiën van Bonaire als waarnemend hoofd van de afdeling financiële administratie en als beleidsadviseur.
Na het vertrek van de vorige tijdelijke bestuurder per eind mei, heeft de Raad van Commissarissen tijdelijk de bestuurstaak waargenomen. …

On 12 September 1989, Mr. Karel Frielink appeared at a public hearing of the District Court of Amsterdam. On the Public Prosecutor’s demand, he made the pledge necessary to become an attorney.
And then suddenly, I was an attorney. I can’t get rid of my past of course. But as long as I myself have the feeling that I can achieve something positive with this profession (also), I will continue to practice it.

AFSCHAFFING TOONDERAANDELEN IN BOEK 2 BW-BES
Wetswijziging per 1 juli 2019
Met ingang van 1 juli 2019 is Boek 2 van het Burgerlijk Wetboek van de BES-eilanden op onderdelen gewijzigd. Zie in het bijzonder de artikelen 2:104, 2:105 en 2:114a BW-BES. Aandelen aan toonder worden volledig afgeschaft; in Nederland, waar de wet ook is gewijzigd, is – anders dan op de BES-eilanden – een uitzondering gemaakt voor girale aandelen aan toonder.
Het gevolg van de wetswijziging is dat alleen nog maar aandelen op naam in een naamloze vennootschap (NV) kunnen worden gehouden. De NV is verplicht om door middel van een wijziging van …

ABOLITION OF BEARER SHARES IN BONAIRE
Legislative amendment as of 1 July 2019
With effect from 1 July 2019, Book 2 of the Civil Code of the BES islands (Bonaire, St. Eustatius and Saba) has been partially amended. Bearer shares will be completely abolished; in the Netherlands, where the law has also been amended, an exception has been made for “book entry” (girale) bearer shares, unlike on the BES islands.
The consequence of the amendment of the law is that only registered shares can be held in a public limited liability company (NV). The NV is under an obligation to convert bearer shares into registered shares …

RECOGNITION AND ENFORCEMENT OF FOREIGN JUDGMENTS
Recognition is usually not a problem
In the absence of an applicable treaty between foreign countries and the Dutch Caribbean, a judgment rendered by an international court from a country without a treaty will not be enforced by the courts of any Dutch Caribbean countries. In order to obtain a judgment which is enforceable in the Dutch Caribbean, the claim must be re-litigated before the court being sought to enforce the judgment.
Nevertheless, a judgment rendered by an international court without a treaty will, under current practice, be recognized by a Dutch Caribbean court:

No policy freedom when bound by rules
Some years ago, I wrote about conflicts of interest in insolvency law matters (Tijdschrift voor Insolventierecht 4/2001, p. 115-123). I then wrote that the special characteristics of the task of a bankruptcy trustee imply that his personal liability, if any, must be assessed against a standard of due care that is geared to this. Under Dutch Caribbean criminal law, criminal acts can be committed both by natural persons and by legal entities, for instance, limited liability companies and foundations, and can take part in the crime in a variety of roles incurring liability, including, perpetrators, co-perpetrators or accomplices. Nieuwe bundel
Onder redactie van Harm van den Broek en Günther Rensen is recent de bundel ‘Grensoverschrijdende omzetting van rechtspersonen’ verschenen (Deventer: Wolters Kluwer 2018).
Het is een omvangrijke bundel met uiteenlopende bijdragen van civielrechtelijke en fiscale aard, maar ook met bijdragen over Europees recht, internationaal privaatrecht, sociaal recht en Belgisch recht.

In nummer 6 (2017) van het Tijdschrift Financieel Recht in de Praktijk (FRP) is een artikel van mijn hand verschenen onder de titel ‘Ontwikkelingen Nederlands Caribisch Financieel Recht’.
In dit artikel worden de recente ontwikkelingen inzake het financieel recht in Aruba, Bonaire, Curaçao, St. Maarten, St. Eustatius en Saba beschreven. De wet- en regelgeving op het gebied van het financieel recht van de verschillende landen binnen het Koninkrijk loopt meer en meer uiteen. Harmonisatie van de Caribische wet- en regelgeving wordt bepleit.

In August 2017, my new textbook on Dutch Caribbean corporate law was published: Kort begrip van het Nederlands Caribisch Rechtspersonenrecht (A concise understanding of Dutch Caribbean corporate law; 1st edition 2017).
