1. Why is good corporate governance necessary?
Basically, corporate governance is about the structures and processes for the direction and control of a company.
Corporate governance is intended to increase the accountability of a company and to avoid massive disasters before they occur. It is held that good corporate governance helps companies operate more efficiently, improve access to capital, mitigate risk and safeguard against mismanagement.

Landsverordening bange bestuurders?
Hierna volgen samengevat enkele punten uit de PAO-cursus die ik op 17 maart 2016 heb gegeven. De hele tekst is te vinden door hier te klikken. Op pagina 14 begint het stuk over het ontwerp van de landsverordening.
Op 15 september 2015 is het ontwerp van de ‘Landsverordening optimalisering overheidsgelieerde entiteiten’ bij de Staten van Curaçao ingediend. De titel van het ontwerp klinkt goed: wie zal er immers tegen optimalisering zijn? Helaas is de inhoud van het ontwerp (beduidend) minder aantrekkelijk dan de titel.

CONSULTATIE CODE CORPORATE GOVERNANCE NEDERLAND
Commissie presenteert voorstel
De (Nederlandse) Monitoring Commissie Corporate Governance Code heeft vandaag een zogeheten consultatiedocument gepresenteerd. Daarin staan voorstellen voor herziening van de Nederlandse corporate governance code.
Alle belanghebbenden en geïnteresseerden worden uitgenodigd om een reactie uit te brengen op dit consultatiedocument en deel te nemen aan het publieke debat omtrent de herziening van de Code. Het doel is om met de verkregen input en bevindingen uit de consultatiefase te komen tot een herziening van de Code.

Een tegen een advocaat in Nederland ingediende klacht is ook in hoger beroep gehonoreerd. De advocaat is voor vier weken geschorst.
De Deken verweet de advocaat dat hij geen gehoor heeft gegeven aan de uitnodiging van de Deken om over een melding van de President van de Rechtbank Oost-Brabant in overleg te treden, alsmede dat hij zich in zijn brief van 1 februari 2013 aan de President van de Rechtbank Oost-Brabant onnodig grievend heeft uitgelaten, en in strijd met de advocateneed en het gedragsrecht heeft gehandeld.

“Ik geef Facebook geen toestemming om mijn foto’s te gebruiken.” Overal op Facebook verschijnen dit soort berichten. Deze Facebookgebruikers zijn het niet eens met de voorwaarden waaronder zij van Facebook gebruik mogen maken. Persoonlijke gegevens en foto’s die zij op Facebook hebben geplaatst mogen van hen niet door Facebook worden gebruikt.
Wie zich aanmeldt bij Facebook aanvaardt de voorwaarden die Facebook heeft opgesteld. Die voorwaarden kunnen niet eenzijdig door de gebruiker worden gewijzigd. Het plaatsen van een tekst op een profielpagina waarin eenzijdig beperkingen aan Facebook worden opgelegd heeft juridisch dan ook geen waarde.

THE CURACAO BAR ASSOCIATION
Something about the early period
The Curaçao Bar Association was established on Saturday 11 June 1977 in the Ala Blancaroom of the Curaçao Plaza Hotel. The Bar is an association (with corporate personality) for advocates (attorneys, lawyers) practicing on the island. Erich Zielinski was the first President of the Bar; he resigned on 11 July 1978. The initial Board consisted of W. Knoppel (Vice-President), A. Richardson (Secretary) and R. Daantje (Treasurer).
