Hoge Raad schept duidelijkheid
De Landsverordening personenvennootschappen van Curaçao (1 januari 2012) en St. Maarten (1 april 2014) noemt twee hoofdvarianten van de personenvennootschap: de openbare vennootschap en de stille vennootschap. De openbare vennootschap is de vennootschap (i) tot het uitoefenen van een beroep of bedrijf dan wel tot het verrichten van beroeps- of bedrijfshandelingen, die (ii) op een voor derden duidelijk kenbare wijze naar buiten optreedt (iii) onder een door haar als zodanig gevoerde naam (art. 7:801 lid 1 BW).

AANSPRAKELIJKHEID VAN DE COMMANDITAIRE VENNOOT
De Hoge Raad mag zich erover uitlaten
Eerst een stukje Nederlands recht. Een commanditaire vennootschap (CV) is een contractuele rechtsbetrekking tussen twee of meer (rechts)personen tot uitoefening van een bedrijf onder gemeenschappelijke naam, waarbij op basis van inbreng vermogensrechtelijk voordeel wordt nagestreefd. De CV (met meerdere beherende vennoten) is dan ook een bijzondere vorm van de vennootschap onder firma (VOF). Die bijzonderheid bestaat hierin, dat de bedrijfsuitoefening mede voor rekening van één of meer stille vennoten (commandieten) geschiedt, die slechts risico lopen tot het bedrag van hun inbreng. De CV wordt dan ook wel ‘vennootschap bij wijze van geldschieting’ genoemd.
DE HOGE RAAD GAAT OM
Faillissement VOF betekent niet automatisch faillissement vennoten
Decennia lang moest worden vastgehouden aan de regel dat het faillissement van een vennootschap onder firma (VOF) tevens het faillissement van de individuele vennoten betekende (HR 14 april 1927, NJ 1927, blz. 725).
Bij arrest van 6 februari 2015 is de Hoge Raad echter omgegaan en heeft in een zaak die in Nederland speelde geoordeeld dat voor deze koppeling geen rechtvaardiging (meer) bestaat (ECLI:NL:HR:2015:251). De Hoge Raad motiveert het nieuwe standpunt als volgt:

GRENSOVERSCHRIJDENDE OMZETTING VAN EEN NV OF BV
Omzetting kan niet binnen het Koninkrijk
Gelijk een natuurlijke personen (tot op zekere hoogte) van geaardheid kan veranderen en kan worden omgebouwd, hoeft ook een Curaçaose NV of BV zijn dagen niet noodzakelijk in de bij oprichting gekozen vorm te slijten. Een NV of BV kan zich omzetten in een andere rechtsvorm in Curaçao of in een buitenlandse rechtsvorm met als gevolg dat de NV of BV uit de Curaçaose rechtssfeer verdwijnt. Vroeger werd in dit verband over zetelverplaatsing gesproken.

CONSULTATIE GRENSOVERSCHRIJDENDE OMZETTING
Voorstel wetswijziging in Nederland
Vandaag is in Nederland ter consultatie een Voorontwerp grensoverschrijdende omzetting kapitaalvennootschappen gepresenteerd.
Het ambtelijk voorontwerp bevat een regeling waarmee voorwaarden worden gesteld voordat een grensoverschrijdende omzetting van een naamloze of besloten vennootschap in een buitenlandse kapitaalvennootschap kan plaatsvinden (outbound) en omgekeerd (inbound). Voorts bevat het voorontwerp een wijziging van de regeling voor werknemersmedezeggenschap in geval van grensoverschrijdende fusies van kapitaalvennootschappen.
Een grensoverschrijdende omzetting kan de belangen van crediteuren, (minderheids-) aandeelhouders en werknemers van de om te zetten NV of BV schaden. Om deze belangen te beschermen, bevat de regeling voorwaarden voordat een grensoverschrijdende …

GRENSOVERSCHRIJDENDE FUSIE EN OMZETTING SINDS 10-10-10
Publicatie in het Caribisch Juristenblad
In het Caribisch Juristenblad (2013/4, p. 3-9) verscheen mijn artikel Grensoverschrijdende fusie en omzetting na 10-10-’10.
De staatkundige herziening binnen het Koninkrijk der Nederlanden die op 10 oktober 2010 zijn beslag heeft gekregen, is ook van belang voor de grensoverschrijdende fusie en de grensoverschrijdende omzetting van kapitaalvennootschappen (NV’s en BV’s). De bestaande regelgeving maakt fusie en omzetting binnen het Koninkrijk nodeloos ingewikkeld. Daarom wordt voor harmonisatie gepleit.

Earlier in 2010, a draft bill was proposed to amend the Corporate Code (Book 2 Civil Code) of Curacao, St. Maarten, Bonaire, St. Eustatius and Saba (which formerly constituted the Netherlands Antilles). Among other things, the provisions with regard to conflicting interest have been thoroughly reviewed and strongly curtailed.

Earlier in 2010, a draft bill was proposed to amend the Corporate Code (Book 2 Civil Code) of Curacao, St. Maarten, Bonaire, St. Eustatius and Saba (which formerly constituted the Netherlands Antilles). Hopefully, the Bill comes into force in 2011. Among other things, the provisions with regard to Managing Director’s liability have been improved.

FOREIGN CLAIMS SECURED BY ARUBAN SECURITY RIGHTS
The foreign law governed claim must be sufficiently identifiable
Many financing arrangements are of a cross-border nature. For instance, a loan agreement governed by English law with the loan secured by a right of pledge governed by the laws of Aruba. This raises all kinds of questions.
Any foreign right, for instance a claim, in which an Aruban pledge is created, must be sufficiently identifiable (‘met voldoende bepaaldheid omschreven’) within in the meaning of section 3:84(2) of the Civil Code of Aruba.
